These Terms of Service ("Terms") govern your access to and use of the BizNetrix platform and services ("Service") provided by BizNetrix ("Company", "we", "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding contract to use BizNetrix. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
2. Account Registration
You must register for an account to use most features of the Service. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your password confidential and not share it with third parties.
- Notify us immediately of any unauthorised access to your account at info@biznetrix.com.
- Be responsible for all activities that occur under your account.
3. Subscription & Billing
BizNetrix is offered on a subscription basis. The following billing terms apply:
- Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
- All fees are non-refundable except as expressly stated in our Refund Policy.
- We reserve the right to change pricing with at least 30 days' notice. Continued use after notice constitutes acceptance of new pricing.
- Failure to pay may result in suspension or termination of your account.
- You are responsible for all applicable taxes.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations.
- Transmit spam, unsolicited communications, or malicious code.
- Attempt to gain unauthorised access to the Service or other users' accounts.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to store or transmit infringing, defamatory, or otherwise unlawful content.
- Resell or sublicense the Service without our prior written consent.
5. Intellectual Property
All content, features, and functionality of the Service — including software, text, graphics, logos, and designs — are the exclusive property of BizNetrix and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.
6. Your Data
You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited licence to process your Customer Data solely to provide the Service. We will not access, use, or disclose your Customer Data except as necessary to provide the Service or as required by law. Please review our Privacy Policy for full details.
7. Availability & Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with prior notice and may temporarily suspend the Service for emergency maintenance without notice. We are not liable for any downtime or data loss resulting from circumstances beyond our reasonable control.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZNETRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless BizNetrix and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain your data for a limited period after termination in accordance with our data retention policy, after which it will be deleted.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
